Our client, a HK listed corporation with exposure in banking, insurance and energy business, who is urgently seeking a Head of Company Secretary to join the team.

• Report to AGM and manage full range of company secretarial matters for the company and its subsidiaries and associates incorporated in Hong Kong, the PRC and offshore countries
• Organize and prepare materials for AGM and Board meetings, prepare announcements and circulars
• Organize and maintain company secretarial records and registers, handle filings and correspondence with the regulatory and statutory authorities
• Handle incorporation and deregistration of companies, preparing of minutes, resolutions, annual return, announcement etc.
• Handle compliance issues in order to meet the standard on corporate governance and other statutory and regulatory requirements in Hong Kong, the PRC and offshore countries
• Liaise and coordinate with internal and external parties on company secretarial issues
• Handle ad-hoc projects assigned by the Senior Management and advise on business-related issues and solutions

• Degree holder or above
• Associate member of ICSA or HKICS with at least 10 years’ post qualification experience in handling company secretarial duties with at least 5 years at supervisory or managerial level, Hong Kong listed companies exposure is a must
• Experienced in handling corporate finance matters
• Practical experience in dealing with PRC company secretarial matters is an advantage
• Self-motivated, accurate and attention to details, able to work under pressure
• Excellent command of spoken and written English, Cantonese and Mandarin
• Strong communication, analytical and problem-solving skills
• Proficiency in MS office and Chinese Word Processing
